• • This Dispatch Agreement is between Continental Logistics, as Fleet Dispatch Manager and the authorized Motor Carrier/Owner Operator listed above and below.
• • Whereas, Fleet Dispatch Manager has transportation sales representation skills, can source loads and process documents needed to expedite loads at carrier's request and carrier gives advance notice of availability, and Whereas; Carrier/Owner Operator desires to receive loading consideration from Fleet Dispatch Manager, and receives 100% of the freight payment revenue Fleet Dispatch Manager books on behalf of carrier/owner operator, and Therefore; be it resolved, that Fleet Dispatch Manager and Carrier/Owner Operator enter into a nonexclusive dispatch representation Agreement.
• • Duties Fleet Dispatch Manager Agrees; to make known carrier's/Owner Operator's availability to authorized load sources and or licensed brokers, using carriers/owner operators Authority, current Insurance Certificate for Property (auto) and Cargo Insurance, and carriers /owner operators W-9, and appropriate current DOT condition which is provided to Fleet Dispatch Manager by carrier/owner operator as needed.To credit qualify Load sources to the satisfaction of carriers’/owner operators' policy, and aid in but not be responsible for the carriers/owner operators accounts receivable.
• • To display carriers’/owner operators' availability on load boards at carriers’/owner operators' expense.
• • To invoice carrier/owner operator after successful delivery of cargo, for 10% of the realized revenue.
• • Carrier/Owner Operator agrees; to notify Fleet Dispatch Manager in the event they are unable to perform, unable to contract, or are not available for a load negotiation, in timely fashion to receive and respond to Fleet Dispatch Manager's phone and text inquiries in a timely fashion to conduct their own appointment gathering and keeping immediately call the Fleet Dispatch Manager upon load acceptance and load delivery.
• • To comply with all Federal, State, and local regulators, as well as orders from the shipper or broker.
• • To notify Fleet Dispatch Manager within 24 hours of receipt of payment for freight services, or in a timely fashion agreeable to both parties.
• • Carrier/Owner Operator agrees to pay Fleet Dispatch Manager his commission within 24 hours of carrier's/owner operator's revenue receipt by credit/debit card.
• • The Carrier/Owner Operator will maintain an account with a load board in the name of the carrier/owner operator with Continental Logistics as the point of contact for load dispatching purposes.
• • To the fullest extent permitted by law, Carrier /Owner Operator agrees to hold harmless Continental Logistics, its employees and volunteers working on behalf Continental Logistics against any and all claims, demands, suits or loss, including any damages which may be asserted, claimed or recovered against from Continental Logistics, employees, volunteers working on behalf of (Continental Logistics), by reason of personal injury, including bodily injury or death and/or property or cargo damage, including loss of use thereof, which arises out of or is in any way connected or associated with responsibilities or the duties to be performed by Carrier/Owner Operator.
• • How much do you need to move your truck? Minimum cost per mile (eg. $2.25 CPM, etc.).
• • Termination of Agreement: This agreement may be terminated, by either party for cause with 5 days verbal or written notice.
• • Carrier/Owner Operator agrees to this Agreement in its entirety by signing below.
